La persona f\u00edsica o jur\u00eddica que contrata los servicios se denomina en adelante <strong>Cliente<\/strong>.<\/p>\n<h2 id=\"objeto\">2. Objeto y \u00e1mbito<\/h2><p>Estos T\u00e9rminos se aplican a la contrataci\u00f3n de servicios de centro de negocios prestados por WebOffice, ya sean contratados presencialmente, por tel\u00e9fono, por correo electr\u00f3nico o a trav\u00e9s de este sitio web.<\/p>\n<p>Los servicios se prestan en los centros de WebOffice en Oporto (Rua Pinto Bessa) y en Vila Nova de Gaia (Avenida da Rep\u00fablica).<\/p>\n<p>La propuesta o ficha de alta firmada por el Cliente identifica el servicio, el plan, el precio y el periodo contratado. En caso de discrepancia prevalece lo all\u00ed acordado espec\u00edficamente; en todo lo dem\u00e1s se aplican estos T\u00e9rminos.<\/p>\n<h2 id=\"aceitacao\">3. Aceptaci\u00f3n de las condiciones<\/h2><p>La contrataci\u00f3n de cualquier servicio implica la aceptaci\u00f3n \u00edntegra de estos T\u00e9rminos, en la versi\u00f3n vigente en la fecha de la contrataci\u00f3n.<\/p>\n<p>En los pedidos realizados a trav\u00e9s del sitio web, el Cliente declara haber le\u00eddo y aceptado estos T\u00e9rminos antes de completar el pago. Sin esa aceptaci\u00f3n el pedido no puede finalizarse.<\/p>\n<h2 id=\"natureza\">4. Naturaleza del contrato<\/h2><p>El contrato tiene por objeto la <strong>prestaci\u00f3n de servicios<\/strong> y la concesi\u00f3n al Cliente del derecho a utilizar espacios e infraestructuras del centro de negocios, en las condiciones del plan contratado.<\/p>\n<p>El contrato <strong>no constituye un arrendamiento<\/strong> ni confiere al Cliente ning\u00fan derecho real ni posesi\u00f3n sobre el inmueble o parte de \u00e9l. WebOffice mantiene el control y la gesti\u00f3n de las instalaciones y el derecho de acceder a los espacios para limpieza, mantenimiento, seguridad o cumplimiento de obligaciones legales, con aviso previo siempre que sea posible.<\/p>\n<p>En los planes sin puesto fijo, el derecho de uso no recae sobre un lugar determinado.<\/p>\n<h2 id=\"servicos\">5. Servicios<\/h2><p>WebOffice pone a disposici\u00f3n, en las condiciones descritas en cada p\u00e1gina de servicio:<\/p>\n<ul>\n<li><strong>Oficina Virtual<\/strong> \u2014 direcci\u00f3n empresarial registrable, gesti\u00f3n de correspondencia y servicios asociados, en los planes Quick, Express, Express Plus y Executive.<\/li>\n<li><strong>Coworking<\/strong> \u2014 puesto de trabajo flexible o mesa exclusiva en espacio compartido, en los planes Nomad, Nomad Plus, Resident y Resident Plus.<\/li>\n<li><strong>Oficina Privada<\/strong> \u2014 despacho cerrado de uso exclusivo, en los planes Basic y Corporate, a partir de dos puestos de trabajo.<\/li>\n<li><strong>Salas de reuniones<\/strong> \u2014 reserva suelta o mediante bonos de fracciones, en las salas London (Oporto) y Floren\u00e7a (Vila Nova de Gaia).<\/li>\n<\/ul>\n<p>El contenido exacto de cada plan es el que figura en la p\u00e1gina de servicio correspondiente en el momento de la contrataci\u00f3n.<\/p>\n<h2 id=\"precos\">6. Precios, IVA y facturaci\u00f3n<\/h2><p>Todos los precios indicados en el sitio web se muestran <strong>sin IVA<\/strong>. Al importe indicado se le a\u00f1ade el IVA al tipo legal vigente, actualmente el 23%.<\/p>\n<p>La factura desglosa siempre la base imponible y el IVA aplicado, y se emite a nombre de los datos de facturaci\u00f3n facilitados por el Cliente. La exactitud de esos datos es responsabilidad del Cliente.<\/p>\n<p>Los precios de los planes con periodo de contrataci\u00f3n se muestran como importe mensual y se facturan por el periodo contratado \u2014 seis o doce cuotas, seg\u00fan el plan elegido.<\/p>\n<h2 id=\"pagamento\">7. Formas de pago<\/h2><p>Se aceptan transferencia bancaria, domiciliaci\u00f3n SEPA y tarjeta de cr\u00e9dito o d\u00e9bito. Los pagos con tarjeta son procesados por un proveedor de servicios de pago; WebOffice no tiene acceso a los datos completos de la tarjeta.<\/p>\n<p>En los pedidos pagados por transferencia bancaria, el servicio solo se activa tras la confirmaci\u00f3n del cobro.<\/p>\n<p>El retraso en el pago devenga intereses de demora al tipo legal aplicable y faculta a WebOffice para suspender la prestaci\u00f3n del servicio, conforme a la cl\u00e1usula <em>Suspensi\u00f3n y resoluci\u00f3n<\/em>.<\/p>\n<h2 id=\"adesao\">8. Alta y documentaci\u00f3n<\/h2><p>La activaci\u00f3n de cualquier servicio depende de la entrega y validaci\u00f3n de la documentaci\u00f3n exigida, en concreto la certid\u00e3o permanente y el RCBE de la empresa, y el documento de identidad, el NIF y el justificante de domicilio de la persona que firma el alta, junto con el justificante de IBAN cuando proceda.<\/p>\n<p>La lista completa y actualizada est\u00e1 disponible en <a href=\"\/es\/documentacion-necesaria\/\">Documentaci\u00f3n de alta<\/a>.<\/p>\n<p>Tras la validaci\u00f3n de la documentaci\u00f3n, el servicio queda activo en un plazo de <strong>24 horas h\u00e1biles<\/strong>.<\/p>\n<p>El Cliente se obliga a mantener la documentaci\u00f3n actualizada durante la vigencia del contrato y a comunicar cualquier cambio relevante en un plazo de 30 d\u00edas.<\/p>\n<p>WebOffice se reserva el derecho de rechazar el alta cuando la documentaci\u00f3n no se entregue, sea insuficiente o suscite dudas fundadas sobre la identidad o la actividad del Cliente, en particular en el cumplimiento de las obligaciones legales de identificaci\u00f3n y diligencia debida.<\/p>\n<h2 id=\"duracao\">9. Duraci\u00f3n, renovaci\u00f3n y revisi\u00f3n de precios<\/h2><p>Los servicios con periodo de contrataci\u00f3n tienen una duraci\u00f3n m\u00ednima <strong>semestral o anual<\/strong>, seg\u00fan el plan elegido y conforme a lo indicado en el momento de la contrataci\u00f3n.<\/p>\n<p>Finalizado el periodo contratado, el contrato se renueva autom\u00e1ticamente por un periodo igual, salvo denuncia por cualquiera de las partes.<\/p>\n<p>La denuncia debe comunicarse por escrito a <a href=\"mailto:info@weboffice.pt\">info@weboffice.pt<\/a>, con una antelaci\u00f3n m\u00ednima de <strong>30 d\u00edas<\/strong> respecto al final del periodo en curso.<\/p>\n<p>WebOffice puede revisar los precios en la renovaci\u00f3n. La revisi\u00f3n se comunica al Cliente con una antelaci\u00f3n m\u00ednima de <strong>30 d\u00edas<\/strong> respecto al final del periodo en curso; si no la acepta, el Cliente puede denunciar el contrato hasta el final de ese periodo, sin penalizaci\u00f3n alguna.<\/p>\n<p>El cambio a un plan superior puede hacerse en cualquier momento, con efecto inmediato y con el importe calculado a prorrata. El cambio a un plan inferior solo surte efecto al final del periodo contratado. Ninguno de los cambios tiene coste asociado.<\/p>\n<h2 id=\"resolucao\">10. Derecho de desistimiento<\/h2><p>El Cliente que sea <strong>consumidor<\/strong>conforme a la ley, y que contrate a distancia o fuera del establecimiento, dispone de un plazo de <strong>14 d\u00edas<\/strong> para desistir del contrato sin necesidad de indicar motivo alguno, conforme al Decreto-Ley portugu\u00e9s n.\u00ba 24\/2014, de 14 de febrero.<\/p>\n<p>El plazo se cuenta desde la fecha de celebraci\u00f3n del contrato. El desistimiento debe comunicarse mediante declaraci\u00f3n inequ\u00edvoca a <a href=\"mailto:info@weboffice.pt\">info@weboffice.pt<\/a>.<\/p>\n<p>Si el Cliente solicita expresamente que la prestaci\u00f3n del servicio comience durante el plazo de desistimiento, queda obligado a pagar el importe proporcional al servicio ya prestado hasta el momento de la comunicaci\u00f3n. Concluida \u00edntegramente la prestaci\u00f3n en ese periodo, con el acuerdo previo y expreso del Cliente y su reconocimiento de que pierde el derecho de desistimiento, dicho derecho se extingue.<\/p>\n<p>Este derecho no es aplicable a contratos celebrados por profesionales o empresas en el \u00e1mbito de su actividad.<\/p>\n<h2 id=\"morada\">11. Direcci\u00f3n, correspondencia y fin del uso<\/h2><p>La direcci\u00f3n facilitada en el marco de la Oficina Virtual puede utilizarse como domicilio social, sucursal o lugar de representaci\u00f3n de la empresa del Cliente, y para recibir correspondencia en su nombre.<\/p>\n<p>La correspondencia se trata conforme al protocolo acordado con el Cliente. WebOffice no abre correspondencia sin instrucci\u00f3n expresa, salvo en los planes que incluyan digitalizaci\u00f3n del contenido, contratada por el Cliente.<\/p>\n<p>La recepci\u00f3n de paquetes est\u00e1 sujeta a l\u00edmites de tama\u00f1o y a un plazo de almacenamiento, comunicados al Cliente. WebOffice puede rechazar bultos que, por su naturaleza, tama\u00f1o o conservaci\u00f3n, no puedan recibirse.<\/p>\n<p>El Cliente se obliga a utilizar la direcci\u00f3n \u00fanicamente para la actividad declarada y a no asociarla a actividad il\u00edcita o susceptible de perjudicar la reputaci\u00f3n de WebOffice o de los dem\u00e1s clientes del centro.<\/p>\n<p><strong>Finalizado el contrato, el Cliente se obliga a promover, en el plazo de 30 d\u00edas, el cambio del domicilio social o fiscal registrado en la direcci\u00f3n de WebOffice, y a dejar de utilizarla en cualquier soporte, en particular facturas, sitio web, registros p\u00fablicos y material de comunicaci\u00f3n.<\/strong> WebOffice deja de recibir correspondencia en nombre del Cliente y no responde del destino de la que se env\u00ede a la direcci\u00f3n.<\/p>\n<h2 id=\"salas\">12. Salas de reuniones<\/h2><p>Las reservas de sala est\u00e1n sujetas a disponibilidad y son confirmadas por WebOffice.<\/p>\n<p>Los bonos de fracciones tienen una validez de <strong>12 meses<\/strong> desde la fecha de compra. Las fracciones pueden utilizarse en sesiones de una hora, media jornada o jornada completa, y no son reembolsables ni transferibles una vez transcurrido ese plazo.<\/p>\n<p>Las horas de sala incluidas en determinados planes no son acumulables entre periodos y se descuentan autom\u00e1ticamente al reservar.<\/p>\n<h2 id=\"adicionais\">13. Servicios adicionales y consumos extra<\/h2><p>Los servicios se\u00f1alados como adicionales en las fichas de servicio tienen coste, seg\u00fan la tarifa vigente, disponible previa consulta.<\/p>\n<p>El uso de servicios adicionales implica un pago anticipado de <strong>25 \u20ac + IVA<\/strong>, que se ir\u00e1 descontando a medida que se presten los servicios.<\/p>\n<h2 id=\"regras\">14. Normas de uso de los espacios<\/h2><p>El Cliente, su personal y sus visitantes se obligan a observar las normas de uso del centro, en particular:<\/p>\n<ul>\n<li>utilizar las zonas comunes con respeto hacia los dem\u00e1s usuarios, manteniendo un nivel de ruido compatible con el trabajo de todos;<\/li>\n<li>no colocar, alterar ni retirar elementos de las instalaciones sin autorizaci\u00f3n previa y por escrito;<\/li>\n<li>no introducir en los espacios sustancias u objetos peligrosos, inflamables o prohibidos por la ley;<\/li>\n<li>respetar la prohibici\u00f3n de fumar en las instalaciones y las normas de seguridad y evacuaci\u00f3n;<\/li>\n<li>identificar a los visitantes en recepci\u00f3n y acompa\u00f1arlos durante su permanencia en el centro.<\/li>\n<\/ul>\n<p>WebOffice puede establecer y actualizar normas de uso espec\u00edficas de cada centro, comunic\u00e1ndolas al Cliente.<\/p>\n<h2 id=\"acessos\">15. Accesos, tarjetas y llaves<\/h2><p>Los medios de acceso \u2014 tarjetas, c\u00f3digos o llaves \u2014 son personales e intransferibles, y se asignan al Cliente para uso exclusivo suyo y de su personal identificado.<\/p>\n<p>El Cliente es responsable de la custodia de los medios de acceso y se obliga a comunicar de inmediato su extrav\u00edo o uso indebido. La sustituci\u00f3n de tarjetas extraviadas o da\u00f1adas est\u00e1 sujeta al coste que figure en la tarifa vigente.<\/p>\n<p>Todos los medios de acceso deben devolverse antes de la fecha de finalizaci\u00f3n del contrato.<\/p>\n<h2 id=\"rede\">16. Internet y uso de la red<\/h2><p>La conexi\u00f3n a internet se facilita para el uso profesional del Cliente. El Cliente se obliga a no utilizarla con fines il\u00edcitos, para acceder o distribuir contenidos prohibidos por la ley, ni de forma que comprometa la seguridad o el rendimiento de la red para los dem\u00e1s usuarios.<\/p>\n<p>El Cliente es responsable de la seguridad de sus propios equipos y datos, en particular de las copias de seguridad y de la protecci\u00f3n frente a software malicioso.<\/p>\n<p>WebOffice adopta medidas razonables para garantizar la disponibilidad y la seguridad de la red, pero no garantiza un funcionamiento ininterrumpido ni responde de las p\u00e9rdidas derivadas de la indisponibilidad, salvo cuando le sean imputables a t\u00edtulo de culpa.<\/p>\n<h2 id=\"mudanca\">17. Cambio de espacio<\/h2><p>Si el equipo del Cliente crece, WebOffice procurar\u00e1 reubicarlo en un espacio mayor del mismo centro, manteniendo el contrato y el historial, sujeto a disponibilidad y con el precio correspondiente al nuevo espacio. La solicitud debe hacerse con una antelaci\u00f3n m\u00ednima de 30 d\u00edas.<\/p>\n<p>Por razones de gesti\u00f3n de las instalaciones, obras o seguridad, WebOffice puede reubicar al Cliente en un espacio de caracter\u00edsticas y dimensiones equivalentes en el mismo centro, con aviso previo razonable y sin incremento del precio, asumiendo los costes del traslado.<\/p>\n<h2 id=\"seguros\">18. Bienes del Cliente y seguros<\/h2><p>Los bienes, equipos y documentos que el Cliente mantenga en las instalaciones quedan bajo su exclusiva responsabilidad.<\/p>\n<p>WebOffice no asegura los bienes del Cliente y no responde de su p\u00e9rdida, robo o da\u00f1o, salvo cuando resulten de un hecho que le sea imputable a t\u00edtulo de culpa. Se recomienda al Cliente contratar un seguro adecuado a los bienes que mantenga en el centro y a su responsabilidad civil frente a terceros.<\/p>\n<h2 id=\"obrigacoes\">19. Obligaciones del Cliente<\/h2><p>Adem\u00e1s de lo dispuesto en las cl\u00e1usulas anteriores, el Cliente se obliga a:<\/p>\n<ul>\n<li>utilizar los espacios y servicios conforme al fin contratado;<\/li>\n<li>no desarrollar en la direcci\u00f3n o en los espacios actividad il\u00edcita, ni actividad que perturbe el funcionamiento del centro o a los dem\u00e1s usuarios;<\/li>\n<li>mantener actualizados sus datos de contacto y de facturaci\u00f3n;<\/li>\n<li>no ceder a terceros, por ning\u00fan t\u00edtulo, el derecho de uso de la direcci\u00f3n o del espacio, sin acuerdo previo y por escrito de WebOffice;<\/li>\n<li>responder de los da\u00f1os causados en las instalaciones o en los equipos por \u00e9l, por su personal o por sus visitantes, incluidos los costes de reposici\u00f3n del espacio al estado en que le fue entregado, salvo el desgaste normal de uso.<\/li>\n<\/ul>\n<h2 id=\"confidencialidade\">20. Confidencialidad<\/h2><p>Cada parte se obliga a mantener confidencial la informaci\u00f3n de la otra a la que tenga acceso con motivo del contrato, y a no divulgarla a terceros ni utilizarla para fin distinto de la ejecuci\u00f3n del contrato.<\/p>\n<p>Se except\u00faa la informaci\u00f3n que sea p\u00fablica, que la parte ya poseyera l\u00edcitamente, o cuya divulgaci\u00f3n sea exigida por la ley o por una autoridad competente.<\/p>\n<p>Esta obligaci\u00f3n se mantiene durante dos a\u00f1os tras la finalizaci\u00f3n del contrato.<\/p>\n<h2 id=\"naosolicitacao\">21. No captaci\u00f3n de personal<\/h2><p>Durante la vigencia del contrato y en los seis meses siguientes a su finalizaci\u00f3n, el Cliente se obliga a no contratar ni captar, directa o indirectamente, a personal de WebOffice con el que haya tenido contacto con motivo del contrato, salvo acuerdo previo y por escrito.<\/p>\n<p>Esta obligaci\u00f3n no impide responder a anuncios de empleo dirigidos al p\u00fablico en general.<\/p>\n<h2 id=\"suspensao\">22. Suspensi\u00f3n y resoluci\u00f3n<\/h2><p>WebOffice puede suspender la prestaci\u00f3n del servicio en caso de impago superior a 15 d\u00edas, previa interpelaci\u00f3n al Cliente, manteni\u00e9ndose debidos los importes correspondientes al periodo contratado.<\/p>\n<p>Cualquiera de las partes puede resolver el contrato, con efecto inmediato, en caso de incumplimiento grave de la otra parte que no se subsane en el plazo de 15 d\u00edas desde la interpelaci\u00f3n escrita.<\/p>\n<p>WebOffice puede adem\u00e1s resolver el contrato con efecto inmediato cuando la actividad del Cliente sea il\u00edcita, cuando este facilite informaci\u00f3n falsa relevante, o cuando su conducta ponga en riesgo a personas, bienes o el funcionamiento del centro.<\/p>\n<p>La finalizaci\u00f3n del contrato no exime al Cliente del pago de los importes vencidos ni de los correspondientes al periodo m\u00ednimo contratado, e implica la desocupaci\u00f3n del espacio, la devoluci\u00f3n de los medios de acceso y el cumplimiento de lo dispuesto en la cl\u00e1usula <em>Direcci\u00f3n, correspondencia y fin del uso<\/em>.<\/p>\n<h2 id=\"responsabilidade\">23. Responsabilidad y fuerza mayor<\/h2><p>WebOffice responde de los da\u00f1os derivados del incumplimiento culposo de sus obligaciones, conforme al derecho general.<\/p>\n<p>WebOffice no responde de p\u00e9rdidas indirectas ni de lucro cesante, ni de interrupciones del servicio derivadas de causas ajenas a su control, en particular fallos en el suministro de energ\u00eda, de agua o de comunicaciones.<\/p>\n<p>Ninguna de las partes responde del incumplimiento derivado de un hecho imprevisible y ajeno a su control, en particular cat\u00e1strofe natural, incendio, acto de autoridad p\u00fablica, conflicto laboral o fallo generalizado de infraestructuras. La parte afectada comunicar\u00e1 el hecho a la otra tan pronto como sea posible; si el impedimento persiste m\u00e1s de 30 d\u00edas, cualquiera de las partes puede resolver el contrato sin penalizaci\u00f3n.<\/p>\n<p>WebOffice no es parte en las relaciones del Cliente con terceros, ni responde del contenido de la correspondencia recibida en su nombre.<\/p>\n<h2 id=\"dados\">24. Protecci\u00f3n de datos<\/h2><p>El tratamiento de datos personales en el marco de la prestaci\u00f3n de estos servicios se realiza conforme a la <a href=\"\/es\/politica-de-privacidad\/\">Pol\u00edtica de Privacidad<\/a>, que forma parte integrante de estos T\u00e9rminos.<\/p>\n<p>Cuando, en la ejecuci\u00f3n del contrato, WebOffice trate datos personales por cuenta del Cliente, lo har\u00e1 de acuerdo con las instrucciones de este y con las garant\u00edas exigidas por el Reglamento General de Protecci\u00f3n de Datos.<\/p>\n<h2 id=\"comunicacoes\">25. Comunicaciones<\/h2><p>Las comunicaciones entre las partes se realizan por escrito, a los contactos indicados en la ficha de alta, consider\u00e1ndose v\u00e1lidas las enviadas por correo electr\u00f3nico a <a href=\"mailto:info@weboffice.pt\">info@weboffice.pt<\/a> y a la direcci\u00f3n de correo electr\u00f3nico indicada por el Cliente.<\/p>\n<p>Las comunicaciones se consideran recibidas el d\u00eda h\u00e1bil siguiente al del env\u00edo, salvo prueba en contrario. Corresponde a cada parte mantener actualizados sus datos de contacto.<\/p>\n<h2 id=\"cessao\">26. Cesi\u00f3n de la posici\u00f3n contractual<\/h2><p>El Cliente no puede ceder su posici\u00f3n contractual, total o parcialmente, sin acuerdo previo y por escrito de WebOffice.<\/p>\n<p>WebOffice puede ceder su posici\u00f3n contractual en el marco de una reorganizaci\u00f3n societaria o de una transmisi\u00f3n del establecimiento, siempre que de ello no resulte una disminuci\u00f3n de las garant\u00edas del Cliente, comunic\u00e1ndoselo previamente.<\/p>\n<h2 id=\"reclamacoes\">27. Reclamaciones y resoluci\u00f3n de litigios<\/h2><p>El Cliente puede presentar una reclamaci\u00f3n a trav\u00e9s del <a href=\"\/es\/libro-de-reclamaciones\/\">Libro de Reclamaciones<\/a>, en formato f\u00edsico en las instalaciones o en formato electr\u00f3nico en el portal oficial.<\/p>\n<p>En caso de litigio de consumo, el consumidor puede recurrir a la entidad de resoluci\u00f3n alternativa de litigios competente para el \u00e1rea de Oporto, el <strong>CICAP \u2014 Centro de Informa\u00e7\u00e3o de Consumo e Arbitragem do Porto (centro de informaci\u00f3n al consumo y arbitraje de Oporto)<\/strong> (<a href=\"https:\/\/www.cicap.pt\" target=\"_blank\" rel=\"noopener noreferrer\">www.cicap.pt<\/a>), y adem\u00e1s, en litigios en l\u00ednea, a la plataforma europea de Resoluci\u00f3n de Litigios en L\u00ednea.<\/p>\n<h2 id=\"lei\">28. Ley aplicable y fuero<\/h2><p>A los presentes T\u00e9rminos les es aplicable la ley portuguesa.<\/p>\n<p>Para la resoluci\u00f3n de cualquier litigio derivado de estos T\u00e9rminos son competentes los juzgados del partido judicial de Oporto, con renuncia expresa a cualquier otro, sin perjuicio de las normas imperativas aplicables a los contratos con consumidores.<\/p>\n<h2 id=\"finais\">29. Disposiciones finales<\/h2><p>Estos T\u00e9rminos, junto con la propuesta o ficha de alta firmada por el Cliente y con la <a href=\"\/es\/politica-de-privacidad\/\">Pol\u00edtica de Privacidad<\/a>, constituyen el acuerdo \u00edntegro entre las partes en cuanto a su objeto.<\/p>\n<p>La nulidad o invalidez de cualquier cl\u00e1usula no afecta a las restantes, que se mantienen en vigor; la cl\u00e1usula inv\u00e1lida se sustituye por otra que, siendo v\u00e1lida, se aproxime m\u00e1s al fin perseguido por las partes.<\/p>\n<p>La tolerancia de cualquiera de las partes ante el incumplimiento de la otra no implica renuncia al derecho correspondiente ni altera lo convenido.<\/p>\n<h2 id=\"alteracoes\">30. Modificaciones<\/h2><p>WebOffice puede modificar estos T\u00e9rminos en cualquier momento.
